Hi there! Thanks for joining us for the Hella Joy Ride, brought to you by Hella Mello Racing! This social, no-drop, all-women, all-levels mountain bike ride in Annadel State Park in Santa Rosa, CA, welcomes all women and female-identifying riders. Come one, come all — we just want to share the JOY of mountain biking with you! Before we hit the trails, please take a quick moment to fill out this Group Ride Waiver — it helps keep things smooth and safe for everyone. Once you’ve submitted the waiver, you’ll receive an email copy for your records. RECITALS
WHEREAS, Hella Mello Racing, (hereinafter "Sponsor/Bicycle Shop") is organizing a group bicycle ride (the "Activity") to take place off-site, and

WHEREAS the Participant desires to participate in the Activity;

NOW, THEREFORE, in consideration of being permitted to participate in the Activity, the Participant, for themselves, their heirs, executors, administrators, successors, and assigns, hereby agree as follows:
Summary of Key Terms (Plain Language)
1. Assumption of Risk: Participating in a group bicycling activity involves risks. By signing this waiver, you acknowledge these risks and agree to assume them.
2. Release from Liability: You agree not to hold the Bicycle Shop or its representatives responsible for injuries or damage unless caused by their gross negligence or intentional misconduct.
3. Indemnification: You agree to cover any costs related to claims brought against the Bicycle Shop arising out of your participation in the activity.
4. Governing Law: This waiver is governed by the laws of California. Any disputes will be handled in Sonoma County, SCA.
Assumption of Risk
The Participant acknowledges and understands that bicycling, including participating in a group bicycle ride, involves inherent risks and dangers that may cause serious injury, paralysis, or death, including but not limited to:

• Terrain and surface conditions
• Traffic
• Weather conditions
• Equipment failure
• Physical exertion
• Actions of other participants
• Participant's own actions or inactions

The Participant hereby expressly and voluntarily assumes all risks associated with participation in the Activity.
Unequivocal Release of All Liability and/or Claims Against Sponsor/Bike Shop
The Participant releases, waives, discharges, and covenants not to sue the Sponsor/Bicycle Shop, its officers, directors, employees, agents, representatives, volunteers, affiliates, and all other persons or entities acting on its behalf (collectively, the "Released Parties") from any and all claims, demands, causes of action, liability, damages, costs, or expenses, of any kind or nature whatsoever, arising out of or in connection with the Participant's participation in the Activity, including, but not limited to, claims for personal injury, property damage, or wrongful death, whether caused by ordinary negligence of the Released Parties or otherwise.
Covenant Not to Sue & Indemnification Agreement
Covenant Not to Sue:

The Participant agrees not to initiate any lawsuit, claim, or proceeding against the Released Parties for any injury, damage, or loss incurred as a result of participation in the Activity, except for claims arising from willful misconduct of the Released Parties.

Indemnification:

The Participant agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, demands, causes of action, liabilities, damages, costs, and expenses (including attorneys' fees) arising out of or in connection with the Participant's involvement in the Activity, including without limitation claims made by other participants or third parties.
Other Terms & Conditions of this Waiver
Severability:

If any provision or portion of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions and portions shall continue in full force and effect.

Governing Law and Venue:

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising under or in connection with this Agreement shall be resolved exclusively in the state and federal courts located in Sonoma County, CA.

Entire Agreement; Modification; Binding Effect:

This Agreement constitutes the entire agreement between the Participant and the Sponsor/Bicycle Shop with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, statements, or agreements, whether oral or written, regarding the subject matter. No modification or amendment of this Agreement shall be effective unless in writing and signed by both parties. This Agreement is binding upon and shall inure to the benefit of the parties and their respective heirs, executors, administrators, successors, and assigns.
Acknowledgement
The Participant acknowledges that they have fully read and understand the terms of this Agreement, including the risks associated with participation, and the legal rights being waived. The Participant further acknowledges that they are signing this Agreement freely and voluntarily and intend their signature to be a complete and unconditional release of all liability to the greatest extent allowed by law.
